The Terms and Conditions set forth below comprise the agreement (“Agreement“) between you and CHNGr Auto Inc. (“CHNGr“), a Texas corporation, governing your use of our mobile automotive maintenance and repair service (the “Service“) which is available through https://CHNGr-Auto.com (the “Site“) or through use of our consumer app (the “App“).
CHNGr provides you with easy access to highly qualified automotive service members with whom you can schedule an oil change or other service of your vehicle to be performed at your home, place of work, or other location you select. Any work performed by a service members through the Service is referred to as a “Job”. All service members performing a Job through the Service are contract employees of CHNGr.
Registering with CHNGr
You must register with CHNGr to use the Service. When you schedule your first Job you will be asked to create a CHNGr account. At that time you will be asked to provide your contact information, including your name, email address and phone number, and to select a password. You also will be asked to identify the vehicle that will be serviced when you schedule a specific Job. When you schedule a Job you will be asked to provide a credit card you will use to pay for the Service.
Scheduling a Job
To request an appointment with a service members for a Job, submit a request through the App or on the Site (a “Job Request“). You will be asked to specify the following information: (i) the make, model, and year of your vehicle or its license plate number (which would allow us to obtain the details of your vehicle), (ii) the location where you would like the Job performed, and (iii) the date and time you would like the Job performed. You will then be able to book your job.
If you need to cancel a Job you previously scheduled before the work is performed, you may do so on the App or the Site. We ask that if you need to cancel you do so at least 1 hour before the Job is scheduled to be performed.
CHNGr uses a third party payment processor, to validate credit and debit cards and process payments. CHNGr does not directly receive or store your credit or debit card information. When you schedule a Job you will be asked to authorize a charge to your card upon completion of booking the Job for the amount of the quote you accepted on the App or the Site for the Job you want performed. Upon completion of the Job, your debit or credit card will be charged for the amount specified, as well any applicable sales tax, if any.
Prohibited Actions; Termination
As a condition for your access to the Service, you agree not to make any separate payment or other payment arrangements with the mechanic who performs the Job. CHNGr reserves the right to terminate your account for any failure by you to comply with the foregoing or any other terms of this Agreement.
Must of 18 or older to Use the Service
The Service is not available to anyone under 18 years of age, and you represent that you are at least 18 years old when you submit a Job Request.
Job Request Submitted by an Entity
If you submit a Job Request for a business entity, you represent that you have the authority to bind that entity to this Agreement.
Subject to the terms and conditions of this Agreement, CHNGr hereby grants to you a limited, non-exclusive, nontransferable right to access and use the Service, subject to the terms of this Agreement.
You acknowledge that all of the intellectual property rights in the Service are owned by CHNGr or its licensors. You shall not (i) reproduce, modify, publish, transmit, distribute, publicly perform or display, sell, or create derivative works based on the Service; or (ii) rent, lease, loan, or sell access to the Service. We reserve the right to modify, enhance, or discontinue the Service at any time.
We provide a Limited Warranty for work performed through the Service. For most maintenance and repair work provided through the Service the length of the Limited Warranty is 6 months or 6,000 miles, whichever occurs first. For oil changes the length of the warranty is 90 days or 3,000 miles whichever occurs first. The terms and conditions of our Limited Warranty are available below. We may change the Limited Warranty from time to time, with any changes effective for Jobs scheduled after such changes are posted to the Site.
EXCEPT AS PROVIDED IN THE LIMITED WARRANTY, THE SERVICE AND PARTS ARE MADE AVAILABLE ON AN “AS IS” AND “WITH ALL FAULTS” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS, EXPRESS, IMPLIED OR STATUTORY. CHNGr SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY.
Limitations of Liability
YOU ACKNOWLEDGE THAT ALL REPAIR AND MAINTENANCE WORK IS PROVIDED BY INDEPENDENT SERVICE MEMBERS, NOT BY CHNGr. ACCORDINGLY, EXCEPT AS PROVIDED IN THE LIMITED WARRANTY, CHNGr HAS NO RESPONSIBILITY OR LIABILITY FOR
ANY SERVICES OR PARTS PROVIDED TO YOU BY SUCH MECHANICS.
UNDER NO CIRCUMSTANCES WILL CHNGr‘S LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT AND ANY JOB EXCEED THE AMOUNT INVOICED FOR SUCH JOB. IN ADDITION, IN NO EVENT WILL CHNGr BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN AN ACTION FOR CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WHETHER OR NOT CHNGr HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. The foregoing limitations shall apply to the maximum extent permitted by law and shall survive indefinitely.
Governing Law. This Agreement and the relationship between you and CHNGr will be governed by the laws of the State of Texas, without giving effect to any choice of laws principles that would require the application of the laws of a different country or state.
Dispute Resolution. Any claim or controversy between you and CHNGr arising out of, or relating to, this Agreement shall be finally decided by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association by a single arbitrator appointed in accordance with such rules. Subject to any valid requirements of any applicable statute, any such arbitration shall be held in Houston, Texas. During the course of any arbitration hereunder, each party will bear its own costs and attorneys’ fees, and share equally the arbitrator’s fees and expenses, except that the arbitrator shall award to the prevailing party all reasonable attorneys’ fees resulting directly or indirectly from such arbitration. The award rendered by the arbitrator shall be final, and judgment may be entered upon it at any court having jurisdiction. The arbitrator shall have the authority to award temporary, preliminary and permanent injunctive and equitable relief in the arbitration. Any arbitration hereunder will be confidential.
No Assignment. You may not assign your rights under this Agreement without our prior written consent, and any attempted assignment will be null and void.
Force Majeure. Any delay in the availability of the Service or the performance of any Job will not be considered a breach of this Agreement if such delay is caused by a fire, earthquake, flood, war, terrorist act, governmental act, failure of common carriers (including Internet service providers), act of God, or any other event beyond the control of CHNGr or the service members, provided that performance is resumed as soon as possible.
Severability. If any provision of this Agreement is held or determined to be invalid, unenforceable, or void, the remainder of this Agreement shall remain in full force and effect.
Entire Agreement; No Waiver. This Agreement constitutes the entire agreement between you and CHNGr regarding the use of the Service. Our failure to exercise or enforce any right or provision of the Agreement will not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect.
Use of Pictures. CHNGr, Inc. may use all likeness of the vehicle booked for maintenance/repair and location of repair services in internal training and external marketing campaigns. Individual customer information such as residential address, customer name, facial likeness, license plate number/vehicle identification number will be protected and any external use must be expressly approved by the customer/representing party.
Notices. We may give notice to you by email or other reasonable means. You must give notice to CHNGr by first class USPS mail to: CHNGr, Attn: Legal Department, 3000 Greenridge Drive #1701, Houston, TX , 77057.

CHNGr Auto, Inc. (“CHNGr“) is committed to protecting your online privacy. As such, we have adopted and adhere to certain principals concerning the privacy of information you provide to us in the course of using the App or the Service. Please read the following to learn what information we collect from you and how we use that information.
2. Protecting Your Privacy
CHNGr is committed to protecting your privacy:
Your name and contact information will not be shared with Third Parties for marketing purposes without your permission.
Your name and contact information will only be shared with CHNGr employees, mechanics and contractors in order to complete any work you request through the App.
We may send you email communications including information that we think may be of interest to you. For example, after you input your vehicle information and purchase a maintenance or repair service we may provide notifications to you of when your vehicle is due for another service. You may opt out of receiving these marketing emails by clicking on the unsubscribe link in any such email you receive from us.
Your account information is password protected. You are responsible for keeping your password secure and private. In the unlikely event of any compromise of our website security, CHNGr will notify you immediately to take action to change your password on the website.
CHNGr does not knowingly collect any information about, or allow accounts to be held by, users under the age of 18. If an account is discovered which is believed to be held by a user under 18
years of age, the account and all related information will be removed.
3. What Information We Collect and Store and Why
We collect your email address and phone number. We collect your email address and phone number to send you notices based on your settings in the App, such as notifying you of specials, scheduled maintenance for your car, or to comply with any legal requirements. From time-to-time, we may ask you to allow us to share your email address with third party affiliates; however, your email address will never be shared without your prior permission.
We collect contact information and location. When you order maintenance or repair work for your car through the App, it is necessary that our Service members be able to contact you and travel to the location you select for the work to be performed. For this reason we collect your contact information and your desired work location which, along with your first name, we share with our mechanics when you request work on your car through the App. We do not use your contact information for any other purpose.
We collect information about your car. When you order work through the App you will be asked to provide certain information about the car you want serviced such as its make, model and year. This information is also provided to our mechanics to enable them to properly perform the work you request through the App.
We do not collect financial information. CHNGr does not collect or store your financial information.
CHNGr payment system. The Service available through the App includes a payment system that allows you to pay with a credit or debit card (the “Payment System”). The Payment System uses a third party payment processor, to handle all credit and debit card transactions. If you make use of the Payment System, when you input your credit or debit card number to pay for service on your car the number is encrypted and is only routed (in encrypted form). CHNGr never sees or obtains your credit or debit card number.
Automatically gathered information. When you download or use the App we may receive information about your location and your mobile device, including a unique identifier for your device. We may use this information to provide you with location-based and other personalized content. Most mobile devices allow you to turn off location services.
4. Security of Information
CHNGr takes security of your information seriously and we take numerous precautions to protect the security of your account information. You can access your account through the App with your username and password. Your password is encrypted. In addition, your account information resides on a secure server that only selected personnel and contractors have access to. We recommend that you not share your password with anyone.
Unfortunately, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we employ commercially reasonable security measures to protect data and seek to partner with companies that do the same, CHNGr cannot guarantee the security of any information transmitted to or from your mobile device through the App and it is not responsible for the actions of any third parties that may improperly receive such information.

CHNGr may release any user information as required by law or in the good faith belief that disclosure of such information is reasonably necessary to comply with a subpoena, discovery request, court order or other legal process issued by a court of competent jurisdiction.
CHNGr may also release any user information in the good faith belief that such disclosure of information is reasonably necessary to enforce our Terms and Conditions for the use of the App or the Service, to defend or respond to any legal actions initiated by third-parties related to your user account or your use of the App or the Service; or to protect the personal safety of staff, users, or the general public.
CHNGr LIMITED WARRANTY
What is covered by this Limited Warranty?
This Limited Warranty is provided by CHNGr Auto , Inc. (“CHNGr ”). Subject to the below conditions, CHNGr warrants that any maintenance and repair services purchased through CHNGr (the “Services”) will be free from defects in materials supplied by CHNGr (for example parts used in the Services) and in the work performed by mechanics provided by CHNGr .
The Limited Warranty does not cover incidental or consequential damages, except where such exclusion is prohibited by law.
Who is covered by this Limited Warranty?
This Limited Warranty extends to the original purchaser of the Services and is not transferable and does not extend to any person who may purchase the car after the Services were performed.
How long will coverage under this Limited Warranty last?
For most Services this Limited Warranty lasts for 6 months or 6,000 miles of use, whichever comes first, as measured from the date and odometer reading at the time the Services were provided (the “Warranty Period”). However, the Warranty Period for oil changes is 90 days or 3,000 miles, whichever comes first. If a part provided in the Services has a separate warranty that is longer than the Warranty Period, that longer warranty will apply to that part and this Limited Warranty will apply to the work performed by the mechanic.
What will CHNGr do if our Service is defective during the Warranty Period?
If either the materials provided or the work performed in the Services has a defect within the Warranty Period, we will, at our option either (1) retain a mechanic without charge to you to correct
the defect including, if necessary, replacing any defective part(s) used in the Services, or (2) refund to you the full amount you paid for the Services. (Please note that we will refund only what you actually paid for the Service. Any promotion or discount used to reduce the amount paid for a Service will not be included in a refund provided under this Limited Warranty.)
What is not covered by this Limited Warranty?
This Limited Warranty will not apply:
To any work for which you have paid the mechanic or Service member directly, rather than making your payment through CHNGr ;
To any work not scheduled and processed through CHNGr , including (i) any work performed by a mechanic originally introduced to you through CHNGr to the extent such work was not scheduled and processed through CHNGr , (ii) any work performed by any mechanic or other person not associated with CHNGr , and (iii) any work performed by you;
If the repaired vehicle has been damaged by abnormal use, misuse, neglect, accident or alteration;
To any work performed on a vehicle used commercially; and To any issues unrelated to the Services you purchased (for example, you purchase an oil change and your car leaks oil due to faulty engine seals or gaskets. The Limited Warranty would not apply to the engine oil leak.)
This Limited Warranty is entirely void if any parts not ordered through CHNGr are installed at your request by the mechanic.
How do you file a claim under this Limited Warranty?
To obtain service under this Limited Warranty email us at CHNGr.startup.com within the Warranty Period. We will send a mechanic to inspect the problem. The following steps must be followed for the limited warranty:
A CHNGr Mechanic needs to inspect the vehicle with a warranty request to verify the issue(s) are covered.
CHNGr needs to verify the mileage from the initial visit and the current mileage.
CHNGr needs to verify the last date we worked on the initial repair.
If the customer had a different mechanic or shop fix or diagnose the issue we need to see any and all invoices, pictures, and other materials involved.
The vehicle needs to be within our service area to provide a pre-warranty check and to perform warranty work.
All other possible warranty scenarios not mentioned above should be reviewed with customer support.
If the mechanic determines that there is a defect in materials or workmanship of the Services and we elect to perform remedial service work and/or replace defective part(s) installed (instead of providing a refund), we will create a new appointment to perform such work and/or replace such part(s) at no cost to you.
